Ushopfy is committed to providing you with a safe and fair trading platform. To support this commitment, this User Agreement and other related policies are developed to list the complete terms and conditions of service that govern your access to and use of our website and services, and describe our expectations and protections for users. These terms and conditions will replace any previous written or oral agreements on the same subject.
Please read this Agreement carefully before clicking "Agree" during the registration process. Please read carefully and fully understand all terms, especially the disclaimer or limitation of liability, applicable law and dispute resolution terms. If you choose to use the services provided by Ushopfy, including all information, data and products available on this website and this application, you agree to accept all terms, conditions, policies and notices set out on the Ushopfy website or website. By registering on our website or purchasing from us, you are using our "Services" and agree to be bound by the following terms and conditions, including other terms, conditions and policies referenced by hyperlinks. These Terms of Use apply to all users of this website, including but not limited to visitors, suppliers, users, merchants or content providers. Please read these Terms of Use carefully before accessing or using our website and application. When you access or use any part of our website and application, you agree to be bound by these Terms of Use. By registering for a Ushopfy Account (as defined in Section III) or using any Ushopfy Services (as defined below), you voluntarily agree to be bound by the following terms and conditions (the "Agreement") as a Ushopfy User. If you do not agree to this Agreement or any of its terms and conditions, you should immediately stop the registration process.
Due to the rapid development of the Internet, the terms and conditions outlined in this Agreement between you and Ushopfy cannot fully list and cover all your rights and obligations with Ushopfy, and the existing agreement cannot fully meet the needs of future development. Therefore, Ushopfy's legal statement, privacy policy, rules, and dispute policy are all considered supplementary agreements to this Agreement, which are inseparable from this Agreement and have the same legal effect. If you use Ushopfy services, you agree to the above supplementary agreement.
Definition
We: refers to Ushopfy, Ushopfy company, Ushopfy platform, Ushopfy website, etc.
Ushopfy Services, Services: refers to the services provided to you by Ushopfy through websites, emails and other Internet-based platforms (including new forms of services that will emerge in the future based on technological development).
Ushopfy Rules: refers to all rules published by Ushopfy through the website, email, etc., including but not limited to these Terms of Use, Dispute Policy, Applicable Laws, Disclaimer, etc.
Ushopfy user, user, you: refers to any natural person, legal person or other unincorporated organization that has legally registered through Ushopfy and agreed to all terms of this agreement and other supplementary agreements.
Ushopfy account: refers to the account legally registered by Ushopfy users through Ushopfy.
Device: refers to the mobile phone, PC or other device used to access Ushopfy.
Personal data: information required to register on Ushopfy, browse Ushopfy or use Ushopfy services, as well as the personal data generated.
Service Provider: A third-party company or individual that provides services on behalf of Ushopfy.
Third-party service provider, Ushopfy partner: any natural person, legal person or unincorporated organization that provides services or software, or sells goods, except Ushopfy.
Usage data: data automatically generated when users browse web pages or use services.
General Provisions
You agree to comply with all applicable laws, regulations, agreements and policies when using the Website and Services to access Ushopfy or use Ushopfy services.
You have carefully read and agree to Ushopfy's Privacy Policy, which governs the protection and use of your personal information collected and stored by Ushopfy and its affiliates. You agree to all the terms of this Privacy Policy and agree that Ushopfy may access, use, disclose and share your personal information as provided in this Privacy Policy.
All content, materials and information obtained from the Ushopfy website should only be used for the purposes permitted by the Ushopfy website. You may not use the above matters for any other purpose not expressly permitted by Ushopfy or other unlawful purposes.
You can access content, products or services provided by third-party websites through hyperlinks (text links, banners, channels or other forms), APIs or other means. Please read the terms or privacy policies of these websites carefully before using them. You should understand that Ushopfy has no control over such third-party websites and does not monitor them. Therefore, Ushopfy is not responsible for any content, products or services provided on such websites.
You may not take any action that could undermine the integrity of Ushopfy's computer systems or networks, or gain unauthorized access to such computer systems or networks.
You may not compromise the integrity of the Ushopfy feedback system by leaving positive feedback for your own account through a third party or secondary user ID, or by leaving unverified negative feedback for other users.
You should confirm that the titles and index keywords listed in the terms of this Agreement are only used to help you understand the subject matter described in this Agreement and do not affect or limit the meaning and interpretation of this Agreement. You should carefully read the specific terms of this Agreement to protect your own rights and interests.
Ushopfy and the User are independent contractors, and no provision of this Agreement shall be deemed to constitute an agency, partnership, joint venture, employee-employer or franchisee-franchisee relationship between either party and the other.
If any provision of this Agreement is held invalid or unenforceable by court decision, statute, rule or other provision, such provision shall be deleted and the remaining provisions shall continue to be valid and enforceable.
Ushopfy's failure to exercise or delay in exercising any rights under this Agreement shall not constitute a waiver of such rights.
Ushopfy reserves the right to assign this Agreement, including all rights, titles, interests, obligations and liabilities hereunder, to any person or entity, including any affiliate of Ushopfy. You may not assign this Agreement, in whole or in part, to any person or entity.
Your provision of any benefits in kind, cash, cash equivalents, labor, travel, etc. that are clearly beyond the scope of normal business negotiations to employees and consultants of Ushopfy and/or its affiliates may be regarded as commercial bribery. In this case, Ushopfy may immediately terminate all cooperation with you and charge you liquidated damages and/or compensation. These amounts are calculated based on the economic losses and goodwill losses suffered by Ushopfy due to your bribery.
Ushopfy Account
After successful registration, an account will be generated for you. The ownership of the account belongs to us, and you have the right to use the account only during the validity period of the agreement. Without our consent, your account is for your own use only, and your account information or control rights shall not be transferred, donated, loaned, sold, authorized or leased to a third party or jointly controlled and used by a third party.
When you register or use a Ushopfy account, you need to provide necessary information, including but not limited to user name, your name, email, country, contact information, shipping address, etc. You must ensure that the information you fill in and provide is true, accurate and complete. Otherwise, your account may be restricted or terminated. If you provide untrue, inaccurate or incomplete information, you shall bear any liability or loss.
After you register an account, Ushopfy has the right to decide whether to provide you with services based on the authenticity, accuracy, completeness and compliance with other conditions of this Agreement of the information you provide. If there are any changes in the information you provide during the use of your account, you should update it in a timely manner.
This account is compatible with other websites or applications operated by Ushopfy and its affiliates, or third-party platforms of partners, etc. When you log in to your account and use certain services, in addition to the provisions of this Agreement, you must also comply with the relevant service agreements.
The account password is for your own safety protection. You are responsible for saving the information including username, account password. Otherwise, any legal liability arising from this will be borne by you. You should not share or allow others to use your account, ID or password. Any logging activities of your account will be regarded as your own operations, and the recorded data generated by the operation is the valid proof of your behavior.
Ushopfy will encrypt your password and take other security measures to ensure that your information is not lost, misused or altered. However, please be aware that despite our best efforts, no security measures are perfect or impenetrable. Please protect your personal information properly and do not provide it to others unless you have to.
If you find that your personal information has been leaked, especially your username and password, please contact us immediately so that we can take appropriate measures.
If you find that your password or account has been used without authorization, as well as any other violation of user account security, you should notify Ushopfy immediately, but you fully understand that Ushopfy needs a reasonable time to act on any of your requests, and any action taken by Ushopfy at your request cannot avoid or prevent the formation or expansion of consequences. Ushopfy does not assume any liability except for statutory negligence.
You agree that all activities occurring under your account (including but not limited to posting any company or product information, clicking to accept any other agreements or rules, subscribing to or paying for any services, and sending emails or text messages through an email account) are deemed to be authorized by you.
You acknowledge that the use of your account by multiple users outside of your business entity ("Multiple Use") may cause irreparable harm to Ushopfy or other users. Ushopfy will not compensate you for any loss or damage (including but not limited to loss of profit) caused by your Multiple Use; if your Multiple Use causes losses to Ushopfy or other users, Ushopfy has the right to claim compensation from you and unilaterally suspend or terminate your account without any liability.
You should acknowledge that if your behavior has a negative impact on Ushopfy, Ushopfy has the right to unilaterally suspend or terminate your account and reserves the right to claim compensation from you, including but not limited to:
a. Publishing false statements on Ushopfy or other platforms or websites;
b. Publicizing the dispute on a third-party platform without consultation with Ushopfy.
Your personal information and account information will be stored and encrypted by Ushopfy with your authorization.
You agree that Ushopfy or third-party advertisers may send, display, promote or send information (commercial and non-commercial) to you in accordance with laws and regulations when using our services. If you are not interested in receiving such advertisements or notifications, you can configure the relevant settings to turn on/off or reduce the display of relevant types of advertisements or push notifications.
Based on Ushopfy's data analysis and experience, if Ushopfy believes that your account has abnormal activity, it may take security measures such as restricting login.
If you engage in any form of verbal or written abuse (including name calling or threats of retaliation) toward any Ushopfy user, Ushopfy employee, or Ushopfy member, your account will be terminated immediately.
Ushopfy Services
Our main user base is e-commerce sellers on Shopify and Tiktok. These sellers focus on store marketing, while we are responsible for product procurement, order processing and shipping. We are committed to meeting the needs of users and maintaining a high degree of competitiveness. Ushopfy provides the following services (please refer to the latest version of our service scope published on Ushopfy).
Products:
Ushopfy Mall has various types of products, and the corresponding information includes product attributes, descriptions, inventory, prices, etc. Ushopfy reserves the right to change the product information on Ushopfy at any time, such as changes to product descriptions, attributes, inventory quantities, prices, etc. Product information is subject to the real-time display on the Ushopfy website. Please read carefully before placing an order.
Purchase Service:
You can submit a product purchase request to Ushopfy by providing relevant pictures, product links, text descriptions, etc. Ushopfy will find a specific product for you within a certain period of time (usually 2 working days). You acknowledge and agree that due to inaccurate or incomplete product information provided by you, Ushopfy's purchase results may differ from your specific requirements. The specific product information and conditions are subject to the products you ordered.
Order Processing:
(1) Order synchronization: The order information of your authorized store will be synchronized to Ushopfy.
(2) CSV order upload: You can download the template from the Ushopfy website and upload the order via an EXCEL document to place an order.
(3) Manual order: You can manually place an order on Ushopfy.
(4) Order splitting: Based on your actual transportation needs, you can split one order into multiple orders for transportation.
(5) Order combination: Multiple orders can be combined into one order for transportation.
Store Management Service:
Ushopfy provides multi-store management to meet the diverse needs of users. By establishing sub-accounts, multiple stores can be integrated and managed on the Ushopfy platform.
You can list Ushopfy products in your authorized stores. Since the product information on the Ushopfy platform may change at any time according to actual conditions, you are obliged to update the product information in your store in a timely manner. At the same time, Ushopfy does not assume any responsibility for any disputes arising therefrom.
Order Execution:
You can ship your products to Ushopfy Overseas Warehouse, which will process and ship your products.
Tracking Service:
Ushopfy provides users with product shipping tracking information.
Video and Photo Shoots:
You can post a request for a video or photo shoot for your products.
Pre-order inventory:
You can pay the full inventory amount in advance through the Ushopfy platform and lock in inventory to ensure the stability of subsequent order shipments.
Ushopfy provides you with free services, except for the fees clearly stated by Ushopfy (such as withdrawal fees), even if providing such services will incur huge costs for Ushopfy. If Ushopfy charges you reasonable fees in the future, Ushopfy will take reasonable measures in advance and notify you through legal procedures within a reasonable time to fully protect your right to choose.
You can enjoy the following free services: download Ushopfy app, browse Ushopfy website, register on Ushopfy, list products to your store for free, and connect your store's products to Ushopfy. Ushopfy promises that we will not charge you any extra fees for using Ushopfy products. Ushopfy will charge you fees when you place an order and use some specific services.
Specific details include but are not limited to product warehousing fees and warehouse outbound fees, freight, video and photo shooting fees, private inventory (prepaid product fees), procurement pricing fees (increased procurement quantity), supplier service fees, order completion quality inspection fees, etc.
Due to system instability and frequent system updates, there may be errors in order amount calculation or order status update errors. For amount errors, Ushopfy has the right to trace the missing amount and is obliged to return the miscalculated amount; for order status update errors, Ushopfy will resolve them within 1-2 working days.
Recharge
Recharge method: Currently only recharge by wire transfer is supported
Withdrawal method: Ushopfy supports balance withdrawal, you need to contact the platform customer service for processing
Balance deduction: When the wallet balance is greater than the order amount, your balance can be deducted; if a refund is involved, the deducted amount will be returned to your wallet balance.
Shipping Services
Shipping Instructions: You can choose the appropriate shipping method to place an order. Ushopfy mainly provides shipping methods such as USPS and UPS. You understand that different shipping methods may have different shipping costs and different delivery times. You can choose the appropriate shipping method based on Ushopfy shipping calculations.
Prepaid shipping: Ushopfy will charge you for shipping when you place an order. However, considering the difference in estimated weight, product volume and other factors, the shipping cost on Ushopfy is only an estimate and is for reference only. The actual shipping cost will prevail. If the actual shipping cost exceeds the prepaid cost due to the difference in weight and volume of the goods, Ushopfy has the right to charge you the difference in shipping cost.
Shipping Tracking: You can track the shipping information through the tracking website provided by Ushopfy or other third-party websites. For some remote countries, the shipping information cannot be tracked. Please contact the local post office in time for more information.
Price Changes: Ushopfy will change shipping costs periodically or seasonally based on third-party carriers' prices. Once the shipping cost changes, you will be notified via SMS or system and can check the shipping cost on Ushopfy Shipping Calculator.
Shipping cost difference: Due to product characteristics, the actual weight after packaging and the system weight may differ. If the product is too large, Ushopfy has the right to charge additional shipping costs based on volumetric weight. You should make up the shipping cost difference.
Return shipping: Due to your own reasons (such as wrong address, recipient absent, unable to contact recipient, etc.), Ushopfy will notify you in advance and have the right to ask you to pay the return shipping fee when the carrier provides return shipping service. Otherwise, you will bear the loss.
Ushopfy is not responsible for any package damage, loss, delay or undeliverable due to the following reasons:
(1) Force majeure: "Force majeure" refers to unpredictable, uncontrollable and unavoidable objective factors or accidents, including but not limited to earthquakes, fires, snowstorms, storms, heavy fog, bad weather, etc.; strikes, terrorist incidents, traffic accidents, amendments to government or judicial regulations and policies, decrees, decisions or orders; violent crimes, such as robbery and drive-by robbery, etc.
(2) Damage caused by the natural characteristics, inherent defects or reasonable wear and tear of the goods.
(3) The delivery is delayed or cannot be delivered due to the customer's own reasons.
SMS push and system notifications
Ushopfy will provide you with push notifications and SMS after obtaining your authorization. SMS push and system notifications include marketing, shipping rate changes, product recommendations, account changes and other information. Ushopfy is not responsible for any losses caused by your failure to read SMS push and system notifications.
Your rights and obligations
You shall ensure that you will use Ushopfy services in a reasonable manner and accept this Agreement and other policies, rules and announcements published by Ushopfy at appropriate times.
You acknowledge that you will use the Ushopfy platform and Ushopfy services within the scope of this Agreement. You may not use the Ushopfy platform to engage in the following activities:
(1) You may not use Ushopfy services without authorization or with malicious intent.
(2) You guarantee that you will abide by national and local laws and regulations, industry practices and social public ethics when using Ushopfy services, and will not use the services provided by Ushopfy to store, distribute and publish any of the following information and content:
a. endangering national security (including China and other countries), undermining national unity and social stability;
b. Insulting, slandering others, and infringing upon the legitimate rights and interests of others;
c. Spread obscenity, pornography, gambling, violence, murder or terror;
d. Illegal advertisements, marketing information or spam. At the same time, you cannot set a user name containing the above content and information.
(3) You may not use Ushopfy to infringe upon the intellectual property rights, portrait rights, privacy rights, reputation rights, personal information and other legal rights of others;
(4) You shall not maliciously fabricate or assist in fabricating facts, comments and other information or data;
(5) You guarantee that you will not use the services provided by Ushopfy to conduct any illegal activities or endanger computer network security, including but not limited to:
a.Use of unauthorized data or access to unauthorized servers/accounts;
b. Access a public computer network or another person's computer system without permission, and delete, modify or add stored information;
c. Any attempt to detect, scan, or test vulnerabilities in software systems or networks without authorization, or any other behavior that undermines network security;
d. Attempt to interfere with or disrupt the normal operation of software systems or websites, intentionally spread malicious programs or viruses, and other acts that damage or interfere with normal network information services;
e. Forge the TCP/IP data packet name or part of the name;
f. Use this platform and services to upload any viruses, Trojans, worms or other content that endangers network security.
(6) Without permission, you may not reverse engineer, decompile, disassemble, modify, adapt, translate, or attempt to discover the source code of Ushopfy, or create derivative works based on all or any part of Ushopfy. At the same time, you may not delete any proprietary notices or labels on Ushopfy or Ushopfy documents, nor may you merge other software with Ushopfy;
(7) You may not use plug-ins and/or exploit program vulnerabilities to gain benefits.
Without our written permission, you may not perform the following actions on Ushopfy or authorize, allow or assist any third party to perform the following actions:
a. Copy, read and adopt the information on Ushopfy for any form of commercial purposes;
b. Edit, organize, and collate the information content on Ushopfy and related services without authorization, and display it in channels other than the source pages of Ushopfy and related services;
Using improper methods or assisting third parties to generate data flow, reading volume, or transaction guidance, transfer, hijacking, etc., which may have an adverse impact on the platform content and related services.
API Usage: a. Provide relevant interface account password or storage account information according to Ushopfy's requirements and actual needs.
b. You are solely responsible for any customer disputes caused by failure of data transmission on your store and platform interface, fuzzy interface settings, missing transmission verification security values, etc. that have not been repaired after notification by Ushopfy.
c. If there are any updates to your platform's API or related functions, you should inform Ushopfy in a timely manner and assist the Ushopfy platform in making corresponding optimizations.
Data Protection
We collect your personal information to provide and continually improve our products and services. The types of personal information we collect are as follows:
Information You Provide to Ushopfy: We receive and store any information you provide to us in connection with Ushopfy services. You can choose not to provide certain information, but your use of certain Ushopfy services may be limited.
Information Automatically Obtained: We automatically receive and store certain information about your use of the Ushopfy Service, such as information about your interaction with content and services provided within the Ushopfy Service. Like many other websites, we use cookies and other unique identifiers. Some of this information will be obtained through your web browser accessing Ushopfy or other content served by us or on our behalf on other websites. More details about the information we collect.
Information obtained through other means: When you use our Mini Program to deliver goods, we may obtain your personal information through other means, such as the delivery address and mobile phone number provided by the Mini Program operator.
Personal sensitive information: We may collect personal sensitive information when you use Ushopfy services. For example, when you place an order on Ushopfy, we need to collect your identity information, such as your address, phone number, etc., so that your order can be clear and delivered.
Store Data: You agree that we will collect your store information and other data when necessary, including but not limited to our operator or other third-party store URL, order information, product information, etc., for the purpose of modifying our records and improving the shipment of your next order and contact information. Ushopfy has the right to modify some of your store data when necessary, such as updating product data, product inventory, tracking number, etc.
Copyright and Intellectual Property
All services and content on Ushopfy, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations and software, are the property of Ushopfy Dropshipping or content providers and are protected by Chinese and international laws. The intellectual property rights of the overall content on Ushopfy belong to Ushopfy or our affiliates.
The compilation of all content provided through or included in the Ushopfy service is the exclusive property of Ushopfy and is protected by Chinese and international laws. No individual has the right to infringe upon the above rights of Ushopfy. Otherwise, Ushopfy reserves the right to seek protection fees and losses from the infringer, including but not limited to direct and indirect losses, potential losses, litigation costs, arbitration fees, investigation and evidence collection fees, attorney fees, notarization fees, etc.
Some of the content on Ushopfy comes from our suppliers. If any organization or individual believes that the content on Ushopfy may infringe their legal rights, please inform Ushopfy in a timely manner. Ushopfy will delete the infringing content as soon as possible after being notified, but will not bear any related legal or economic responsibility.
Since the purchase requests posted are manually reviewed or filtered by the system, it is impossible to fully determine whether the purchase requests on Ushopfy are legal. Therefore, Ushopfy is not responsible for your purchase requests. If you believe that there are quality problems or intellectual property infringement issues in transactions conducted through Ushopfy, you should inform Ushopfy in a timely manner, and Ushopfy will do its best to assist you in resolving the corresponding issues.
When you use Ushopfy services, the intellectual property rights of the original information such as text, pictures, videos, software, performances, etc. uploaded by users on Ushopfy belong to you (or with the consent of the third-party content provider and you). However, based on the operation of Ushopfy, you should confirm that your publishing and uploading of such information is deemed as your right to use, copy and disseminate the intellectual property rights authorized by us.
Unless otherwise required by laws and regulations, we have the right to use competitive data in a lawful manner without your consent.
Ushopfy always respects intellectual property rights and opposes any infringement of intellectual property rights. If you encounter any infringement of your legal rights during use, you have the right to notify us to take necessary measures. If you find any violation of laws, regulations or relevant provisions of this Agreement during the use of the platform, you have the right to report it to us, and we will take necessary measures (such as deletion, blocking, disconnection or restriction of functions, etc.) to deal with it in a timely manner.
All content on Ushopfy does not reflect any opinion of Ushopfy. All users have carefully read and fully agreed to these terms and conditions when browsing every page of Ushopfy.
Personal Information Protection and Privacy Policy
Ushopfy is committed to respecting user privacy and protecting the security of your personal information. Ushopfy takes reasonable measures to protect your personal information and privacy. We promise that Ushopfy will only collect or use your personal information when it is necessary to provide Ushopfy services, and such information will not be used for purposes other than providing services.
Security protection: We use a series of technologies and procedures with strong security features to establish a complex system to prevent unauthorized access, use or disclosure of your personal information.
Use and disclosure of information: Ushopfy reserves the right to obtain, use, store and share your personal information with explicit consent and in compliance with applicable laws and regulations. Your personal information or confidential content on our servers will not be disclosed or changed without your authorization. You hereby agree and warrant that Ushopfy has the right to collect and use your information in accordance with our Privacy Policy.
You agree that Ushopfy has the right to collect your usage and behavior information through technologies such as cookies, and we are free to use purely anonymized commercial data that is no longer related to your personal information. Of course, if you wish, you can choose to delete cookies, but you need to change the user settings every time you visit our website. In addition to complying with the personal information protection and privacy policies clearly stipulated in this Agreement, please carefully and completely read the privacy policy that the platform promptly publishes to protect your personal information.
Refund, Reissue and Return Policy
Refund, resend and return policies are important bases for resolving disputes on Ushopfy. Please read the refund, resend and return policies carefully before registering on the Ushopfy platform and using Ushopfy services. All disputes should be initiated on Ushopfy. If you directly open a dispute on any other third-party platform (including but not limited to third-party service providers or judicial authorities) without consulting Ushopfy, Ushopfy has the right to permanently ban your account.
Ushopfy will provide you with a timely solution to the dispute, subject to the provision of the following evidence, including:
(1) Photos of the damaged items showing the damage;
(2) If photos cannot prove the damage, a video can be provided;
(3) Screenshot of the disputed email, including the email subject, date, and content.
Limitation of liability
You should understand and agree that, in accordance with applicable laws, Ushopfy shall not be liable for any direct, indirect, incidental or abnormal losses, including but not limited to store closure, brand infringement, loss of profits, business reputation, use or data, and other intangible losses caused by the use or inability to use the service.
Subject to applicable law, in no event shall Ushopfy or our suppliers be liable for any lost profits or any unusual, incidental or unavoidable damages arising out of our website, services, or this Agreement (or any other related issues).
If you violate this Agreement, the Supplementary Agreement, the Insurance Policy or Chinese and international laws, causing any damage to other third parties, or causing any other third party to make claims or demands (including but not limited to any costs of legal proceedings) against Ushopfy and its affiliates, Ushopfy partners, Ushopfy senior management, directors, agents, employees and suppliers, Ushopfy reserves the right to claim or further claim.
Use of Ushopfy services is at your own risk. The services are provided "as is" and "as available" without any express, implied or statutory warranties or conditions. Ushopfy does not guarantee that our services will be free from interruptions, delays, risks or errors.
Improve the transaction system, apply and optimize third-party services such as logistics, payment, and delivery, promote transaction convenience, and enhance user experience. The legal relationship between you and the above-mentioned third-party service providers has nothing to do with Ushopfy.
When ordering products or using services on Ushopfy, please carefully verify the product name, price, quantity, model, specification, size or time, content, service framework and other decision information, as well as contact address, telephone number, consignee and other information. If it is not your own, you will be responsible for the legal consequences caused by the actions and intentions of the consignee. Clicking the "Submit" button means that you confirm that all the information contained in the order is correct and complete. You have the right to modify or change the products you choose to purchase before submitting the order.
Your purchase should be based on the real purpose of the transaction. You should not hinder the normal transactions of Ushopfy with the purpose of maliciously purchasing products, blackmailing Ushopfy service rights protection, etc. If the above situation occurs, Ushopfy may decide to suspend any related transaction instructions at its own discretion to maintain the transaction security on Ushopfy.
Due to objective factors such as the current characteristics of IT technology, the information displayed on Ushopfy may be delayed or erroneous. Please understand that the displayed information may be obviously wrong (including but not limited to obviously too low prices) due to system failure or platform misjudgment. Then, orders submitted based on such incorrect information will be regarded as malicious behavior, and the platform has the right to freeze and/or cancel the transaction.
Review and Feedback
Ushopfy welcomes any ideas or suggestions for improving the Ushopfy service.
Under no circumstances shall Ushopfy be liable for any confidentiality or compensation for any ideas, suggestions or related documents disclosed to Ushopfy, or any opinions of any individual on third-party services or suppliers (collectively, "Feedback").
Submitting Feedback to Ushopfy (either directly to Ushopfy or posting it on any social networking service or webpage managed by Ushopfy) means that the user waives any rights to the Feedback, and Ushopfy reserves the right to modify the Feedback and to develop and use the Feedback as requested by the user without the permission of the user or any third party.
Ushopfy reserves the right to pursue legal liability for any false statements posted by any user on this website.
Notes
When you register as a Ushopfy platform user and accept the services provided by Ushopfy, you should provide Ushopfy with real and valid contact information (including your email, phone number, contact address, etc.). When the contact information changes, you are obliged to update the relevant information in a timely manner and remain contactable.
Your Ushopfy account and sub-accounts are also considered as valid contacts for receiving system notifications.
Ushopfy will send you various notifications through one or more of the above contact methods. Since the content of such notifications may have a significant positive or negative impact on your rights and obligations, please be sure to update them at any time.
Ushopfy platform will contact you in the form of written notice through electronic media, including but not limited to Ushopfy notice, SMS to the contact number provided, email to the email address provided, system information to your Ushopfy account, etc. Successful delivery will be deemed as the delivery of the notice; written notice issued in paper form within the 10th natural day after the express delivery arrives at the contact address provided will be deemed as delivery.
You agree that judicial authorities (including but not limited to the People's Court) may deliver legal documents (including but not limited to litigation documents) to you through modern communication media such as SMS, email, and mail to deal with any disputes arising from trading activities on Ushopfy.
The mobile phone number, email address or Ushopfy account you specify to receive legal documents should be consistent with the mobile phone number and email address you provided when you updated your Ushopfy registration. When the judicial authority sends the legal documents according to the above contact information, it will be deemed to have been delivered. The mailing address you specify will be your legal contact address or the valid contact address you provided.
You agree that the judicial authorities may serve legal documents to you through one or more of the above methods. In case of different service times, the earliest service shall prevail.
You agree that the above method of serving documents is applicable to all stages of the litigation process, including but not limited to first instance, second instance, retrial, execution and supervisory procedures.
You should ensure that the contact information you provide is accurate, valid, and updated in a timely manner. If the legal documents cannot be delivered or are delivered in a timely manner due to inaccurate contact information provided or failure to update the contact information in a timely manner, you shall bear the legal consequences arising therefrom.
Force majeureIn view of the specific technical factors of Internet services, you understand and agree that we are not responsible for any losses you suffer (including but not limited to property, income, data or other intangible losses) in the following circumstances.
Ushopfy shall not be liable for any losses or pay any compensation of any nature caused by service or system failure, including but not limited to the following force majeure:
(1) Failure of communication terminals or telecommunication facilities due to force majeure, resulting in interruption of data transmission.
(2) System failures and malfunctions caused by force majeure events, including but not limited to typhoons, earthquakes, tsunamis, floods, power outages, fires, storms, wars, political unrest, labor strikes, labor or material shortages, riots, civil unrest, terrorist attacks, explosions, natural disasters, governmental actions, court orders of domestic and foreign courts, etc.
(3) Domestic or international epidemics occur, including but not limited to suspension or delay of services, system failures caused by any third party, or any suspension or interruption of transportation or business operations.
(4) The platform or service is delayed or interrupted due to computer viruses, Trojans, other malicious programs, hacker attacks, technical adjustments or failures of telecommunications departments and network operators, system maintenance and other unexpected reasons.
Update Agreement
Any new features or tools which are added to the current website shall also be subject to the User Agreement.
You can review the latest version of the "User Agreement" at any time on this page. We reserve the right to update, modify or replace any part of this User Agreement by publishing an announcement on the Ushopfy website.
Users are responsible for regularly checking this page for changes. Ushopfy will notify you of revisions to these Terms by email or website announcement. Users accept any changes by continuing to use Ushopfy Services and Applications or access Ushopfy after any changes are posted.
Dispute Resolution and Applicable Law
The formation, effectiveness, interpretation, revision, supplement, termination, execution and dispute resolution of this Agreement shall be governed by Chinese law (including applicable laws). If there are no relevant provisions, refer to business practices and/or industry practices.
If any dispute arises between you and Ushopfy regarding the performance or interpretation of Ushopfy's technical services or transactions, both parties shall first negotiate in a friendly manner.
